1. Acceptance of Terms

By downloading, installing, or using the SayandSee mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

SayandSee is an iOS application that provides:

  • Audio recording capabilities
  • Real-time speech-to-text transcription
  • AI-powered communication analysis
  • iCloud synchronization
  • Recording management and playback

3. User Accounts and Subscriptions

3.1 Free Trial

We offer a 7-day free trial with limited features. The trial includes 1 hour of total recording time and 30 minutes of daily AI analysis. No credit card is required for the trial.

3.2 Paid Subscriptions

After the trial period, you may choose to subscribe to a paid plan:

  • Basic Plan: Unlimited recordings and 4 hours of daily AI analysis
  • Premium Plan: Unlimited recordings and 8 hours of daily AI analysis

3.3 Billing and Payments

  • Subscriptions are billed through the Apple App Store
  • Payment is charged to your Apple Account at confirmation of purchase
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage subscriptions and turn off auto-renewal in your Apple Account Settings

3.4 Refunds

All purchases are processed through the Apple App Store. Refund requests must be made through Apple. Please review Apple's refund policy for more information.

4. User Responsibilities

4.1 Lawful Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Record conversations without proper consent from all parties
  • Use the App to violate any local, state, national, or international law
  • Record or transcribe content that is illegal, harmful, threatening, abusive, or objectionable
  • Attempt to reverse engineer, decompile, or disassemble the App
  • Use the App to harass, abuse, or harm others
  • Share your API keys with unauthorized parties

4.2 Recording Consent

You are solely responsible for obtaining all necessary consents and permissions before recording any conversation. Recording laws vary by jurisdiction. You agree to:

  • Comply with all applicable recording consent laws in your jurisdiction
  • Obtain consent from all parties before recording, where required by law
  • Inform participants that they are being recorded, where required
  • Use recordings only for lawful purposes

4.3 API Keys

You are responsible for:

  • Obtaining and maintaining your own API keys for AI services
  • Keeping your API keys secure and confidential
  • Monitoring your usage and associated costs with AI providers
  • Complying with the terms of service of your chosen AI providers

5. Intellectual Property

5.1 App Ownership

The App and all related intellectual property rights are owned by SayandSee. These Terms do not grant you any ownership rights in the App.

5.2 Your Content

You retain all rights to your recordings, transcriptions, and other content created using the App. By using the App, you grant us a limited license to process and store your content solely for the purpose of providing the service.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the App, we may use them without any obligation to you.

6. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

7. Third-Party Services

The App integrates with third-party services including:

  • Apple iCloud for data synchronization
  • Various AI providers for AI analysis (based on your API keys)

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, functionality, or practices of these third-party services.

8. Disclaimers and Limitations of Liability

8.1 Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The App will be uninterrupted or error-free
  • Defects will be corrected
  • The App is free of viruses or other harmful components
  • Transcriptions will be 100% accurate
  • AI analysis results will meet your expectations

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAYANDSEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or related to these Terms or the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.

8.3 AI Analysis Disclaimer

AI-generated analysis and feedback are provided for informational purposes only and should not be relied upon as professional advice. We make no guarantees about the accuracy, completeness, or usefulness of AI-generated content.

9. Indemnification

You agree to indemnify, defend, and hold harmless SayandSee and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights, including recording consent laws
  • Your content or recordings

10. Termination

10.1 Termination by You

You may stop using the App at any time. To cancel your subscription, you must do so through your Apple Account Settings at least 24 hours before the next billing cycle.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Any other reason at our sole discretion

10.3 Effect of Termination

Upon termination:

  • Your right to use the App immediately ceases
  • You remain responsible for all charges incurred prior to termination
  • Your recordings and data stored locally on your device and in iCloud remain your responsibility

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms in the App
  • Updating the "Last updated" date
  • Providing notice through the App or via email

Your continued use of the App after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and SayandSee individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, and there is no right or authority for any dispute to be arbitrated on a class-action basis.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SayandSee regarding the App.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control.

15. Apple-Specific Terms

The following terms apply to your use of the App obtained through the Apple App Store:

  • These Terms are between you and SayandSee, not Apple
  • Apple has no obligation to provide maintenance or support for the App
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple for a refund. Apple has no other warranty obligation with respect to the App
  • Apple is not responsible for addressing any claims relating to the App or your possession and use of the App
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple has the right to enforce these Terms

By using SayandSee, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
